The filing is due within 45 days after March 31, June 30, September 30, and December 31.

Weekends and holidays roll forward

SEC Rule 0-3 moves a Saturday, Sunday, or holiday deadline to the next business day.

There is no extension

The SEC says not to request an extension. A late filer should submit an accurate filing as soon as possible.

Check EDGAR operating hours

EDGAR accepts filings from 6:00 a.m. to 10:00 p.m. Eastern Time on weekdays other than federal holidays.

When is Form 13F due after quarter end?

The baseline deadline is within 45 days after quarter end. If the 45th day is a weekend or federal holiday, the deadline moves to the next business day.

Can a Form 13F filer obtain an extension?

No. The SEC FAQ says it does not grant extensions. A late filer should submit an accurate filing as soon as possible.

Does every investor file Form 13F?

No. The SEC generally requires institutional investment managers that use U.S. interstate commerce and exercise investment discretion over at least $100 million in Section 13(f) securities to file.

Does Form 13F show current holdings?

It reports quarter-end holdings and may be filed up to 45 days later, so it can lag the manager's current portfolio.
