The transaction date is not business day one. Start with the following day, exclude Saturdays, Sundays and SEC closure dates, and count two business days.
Example: a transaction on Thursday, July 2, 2026 → July 3 is the observed Independence Day holiday and July 4–5 is a weekend → business day one is Monday, July 6 → the deadline is Tuesday, July 7.
Some qualifying Rule 10b5-1 and discretionary-plan transactions use special SEC deemed-execution-date rules. This calculator is a quick standard-rule estimate, not legal advice.
